Its mainly a memory thing. This deal is though, the new Opera wouldn't really benefit from it much now anyway. Because the new renderer allows each tab, extension and plug-in to use its own process it already has access to what is functionally unlimited memory (up to whatever your system max is of course). Unless you have a single process using 3.5+ gigabyes of RAM you will probably never run into the 32 bit limit.

Sadly at the moment the new Opera in Windows is 32 bit only, as you say.
There is a bit of a debate about how useful 64 bit is in this instance. Yes it would be able to access more memory, and may be a bit more stable, but there don't seem to be many other huge advantages.
